Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Happy Crawl mobile application, the website happycrawl.com, the venue partner portal, and the advertiser portal (collectively, the "Service"), operated by Teamdb LLC, a Texas limited liability company ("Teamdb," "we," "us," "our"). By creating an account or using the Service you agree to these Terms.

You must be at least 13 years old to use the Service. Certain features (deals related to alcoholic beverages, RSVP to bar-category events, etc.) are restricted to users 21 and over. You must provide accurate information at signup, including a valid date of birth. You may not impersonate any person or misrepresent your affiliation with any entity.

You are responsible for activity that occurs under your account. Keep your password and authentication credentials secure. Notify us at mdr@teamdb.us if you suspect unauthorized access. You may delete your account at any time from the in-app settings.

Crawl Pass is our consumer subscription. New users receive a 7-day free trial. After trial, you will be charged the then-current monthly fee via Apple or Google billing until you cancel. Manage and cancel through the App Store or Google Play; cancellations take effect at the end of the current billing period. Refunds are governed by Apple's or Google's standard refund policies.

Venue partner memberships (Verified, Featured, Headliner) are billed monthly unless prepaid annually. You authorize Teamdb to charge your billing instrument at the start of each billing period. Cancel by emailing mdr@teamdb.us; cancellations take effect at the end of the current billing period. Promote-a-Deal upsells are one-time charges and non-refundable once the deal has gone live.

Advertiser content must comply with all applicable laws and platform policies. You may not advertise: alcohol to users under 21 (the Service automatically restricts this); illegal goods or services; tobacco products to users under 21; firearms; adult content; gambling without applicable licensure; or content that violates intellectual property rights. We reserve the right to reject or remove any advertisement.

When you tap "Reserve at venue" the Service deep-links you to a third-party reservation platform (OpenTable, Resy, Yelp, or others). Reservations are made on those platforms under their terms. Teamdb is not a party to your reservation. We do not guarantee availability, accuracy of times, or fulfillment by the venue.

Crawl Points are a non-transferable loyalty currency. Points have no cash value, cannot be exchanged for cash, and may expire if your account is inactive for 24 months. Points may only be redeemed for the rewards listed in the in-app catalog, subject to venue availability. We reserve the right to claw back points awarded through fraud, error, or abuse.

You agree not to: harass, threaten, or impersonate other users; post content that is unlawful, infringing, hateful, sexually explicit, or harmful; reverse engineer, scrape, or extract data from the Service; interfere with the operation of the Service; use the Service for any commercial purpose not authorized in writing by us; or evade the 21+ age gate.

You retain ownership of content you post (Pours, comments, profile bio, etc.). You grant Teamdb a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute your content in connection with operating and promoting the Service. You represent that you have all rights necessary to grant this license.

The Service, including all software, design, content, and trademarks, is owned by Teamdb LLC or our licensors. Except for the limited license to use the Service granted to you in these Terms, no rights are granted. The "Happy Crawl" name, the gradient smiley mark, and our taglines are claimed as trademarks.

We may suspend or terminate your account at any time for violation of these Terms or for any conduct that we determine, in our sole discretion, harms the Service or another user. You may terminate your account at any time. Sections governing intellectual property, indemnification, limitation of liability, and arbitration survive termination.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAMDB AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF $100 OR THE AMOUNT YOU PAID TO TEAMDB IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You will defend, indemnify, and hold harmless Teamdb LLC from claims arising out of your violation of these Terms, your content, or your misuse of the Service.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS in Dallas County, Texas, before a single arbitrator. Each party will bear its own costs. You waive any right to a jury trial or to participate in a class action. Either party may seek injunctive relief in a court of competent jurisdiction in Dallas County, Texas.

We may update these Terms. We will notify you of material changes in-app and post the new effective date below. Continued use of the Service after the effective date constitutes acceptance.
